Spire is hiring Senior Counsel in its Houston, TX location.  The successful candidate will play an integral role in advising Spire Marketing (Spire’s standalone natural gas trading and logistics business) in its day-to-day business and be responsible for negotiating all structured transactions, commercial contracts and other transactions for the purchase and sale of natural gas, including credit agreements, and for the transportation of natural gas on both interstate and intrastate natural gas pipelines.  The successful must also play an integral role in advising on risks and challenges in acquisition transactions or other business growth opportunities.   

Further, the successful candidate must monitor and advise on regulatory changes, such as proposed pipeline tariff rate changes, that directly impact the business. Finally, the successful candidate will collaborate with compliance professionals to provide counsel that mitigates compliance risks resulting from regulations promulgated by the FERC, the CFTC (including Dodd-Frank), and other applicable regulatory authorities as identified.

Duties and Responsibilities

  • Provide day-to-day support and legal advice to commodity traders, gas schedulers, and others in the Spire Marketing business
  • Provide regulatory advice on trading transactions and support the Legal Department in standing up a Compliance Program to mitigate regulatory risks
  • Assist in responding to regulatory requests and, as warranted, manage any FERC/CFTC inquiries 
  • Negotiate gas supply agreements (including NAESB Base Contracts, NAESB Special Provisions, and related credit support documents, as well as broker agreements) necessary to grow the Spire Marketing business
  • Negotiate transportation and related agreements (e.g., non-conforming FT, IT, Gathering, Storage, PAL, Exchange, Wheeling, OBAs, Interconnect, Capacity Release, Asset Management Agreements, and related agreements)
  • Negotiate other agreements, including confidentiality agreements and vendor agreements, as necessary
  • Regularly evaluate and be able to clearly articulate the legal risk profile of the Spire Marketing business and respond to transactional inquiries, as appropriate, including managing instances of force majeure
  • Demonstrate ability to work on complex structured transactions, and to assist in acquisition transactions of new assets.

Supervisory Responsibilities


Required Education (certifications, licenses)

  • BA/BS degree 
  • JD degree 
  • License to practice law in any U.S. jurisdiction 

Required knowledge, skill and abilities

  • Minimum seven (7) years of legal experience
  • Working knowledge of natural gas commodity trading business
  • Strong ambition to learn and ability to communicate with people of different professional backgrounds
  • Excellent verbal and written communication skills are required 
  • Superior analytical skills are required 
  • Strong attention to detail
  • Experience working with commodity traders and have a working knowledge of the operational aspects of the natural gas midstream businesses, including transactions involving interstate and intrastate pipelines.  
  • Proficient in negotiating and drafting relevant commercial agreements in connection with the purchase and sale of natural gas, including spot and forward sales.  Some of these agreements may include the following for physically settled product (and related credit and collateral agreements): NAESB Base Contract for Sale and Purchase of Natural Gas (including bespoke Transaction Confirmations); and Gas transportation and related agreements (e.g., FT, IT, Gathering, Storage, PAL, Exchange, Wheeling, OBAs, Interconnect, Capacity Release, Asset Management Agreements, and related Precedent Agreements)
  • Experience negotiating and drafting physical and financial agreements across multiple commodities, including experience with the ISDA Master Agreement (including for Gas, and Credit Support Annexes)

Physical demands, environment and schedule

  • Job is performed in a typical trade floor office environment, but is subject to time pressures and constraints, and is often dependent on input from others  
  • Occasionally, work may be performed from home, after normal work hours or on weekends 
  • Periodic travel as business requires
  • Subject to drug and alcohol testing, per applicable federal regulations
